Power of Attorney for NRI Property in India: What to Get Right Before You Sign
How an NRI can give a valid Power of Attorney for Gurgaon property: types, notarisation, apostille, stamping, registration and common mistakes.
Why a POA matters for NRI property owners
A Power of Attorney (POA) lets someone act on your behalf within powers you define. For an NRI with Gurgaon property, it can make a purchase, lease or sale possible without attending every step personally. It does not remove the need for verification or transfer ownership by itself.
The important question is not simply whether you have signed a POA. It is whether the right person has the right authority, in a form the relevant office can accept. Our NRI Advisory approach starts with that distinction.
General vs Special POA: when each is used
A General Power of Attorney (GPA) typically covers a wider range of activities. A Special Power of Attorney (SPA) typically authorises a defined task, such as executing a particular sale deed or presenting specified documents for registration.
The wording matters more than the label. A document called an SPA can still contain unnecessarily broad powers. In most cases, a property-specific document is easier to review because the asset, permitted actions and limits are identifiable. Your lawyer should determine the appropriate scope for your situation.
Where the POA is signed changes the steps
Signed abroad
Typically, the POA is notarised in the country where you sign, then apostilled where the applicable convention route is available, or authenticated through the Indian embassy or consulate according to that country’s requirements. The appropriate route depends on your location and the receiving authority; do not assume every country requires the same sequence.
An apostille authenticates the origin of a public document, not the adequacy of your powers or the property’s title. Confirm the draft, identity evidence, witness requirements and authentication route with your lawyer and the relevant Indian mission before signing. MEA apostille guidance explains the distinction between apostille and normal attestation.
The document must then be stamped in India within the time the applicable law allows. Keep evidence of when it first arrives in India. The applicable period, stamp duty, fees and procedures should be confirmed for the relevant state and instrument; no amount or processing-time estimate is assumed here.
Signed in India
A POA executed in India typically needs appropriate stamping before or at execution and, where required for its terms and use, registration or statutory authentication. A notarised signature is not a substitute for every registration formality. Confirm Haryana requirements with a qualified local lawyer before using it for Gurgaon property.
Registration: why a registered POA is safer when it authorises a sale or other dealing in immovable property
Where a POA authorises a sale or another property dealing, registration can provide a more traceable record of execution and authority. It is generally safer to settle the formalities before negotiating a transaction rather than discover an acceptance problem when documents are presented.
This does not mean every POA must be registered in exactly the same way. Sections 32 and 33 of the Registration Act address presentation through an authorised agent and recognised authentication routes, including overseas execution. The requirements depend on what the attorney will sign or present, where the principal resides and applicable state rules. Registration does not cure defective title, excessive powers or an invalid underlying transaction.
A GPA, agreement to sell and will do not by themselves transfer title
In its 2011 Suraj Lamp & Industries judgment, the Supreme Court explained that a GPA, agreement to sell and will arrangement does not by itself convey ownership as a substitute for a registered conveyance.
The Court distinguished such purported “GPA sales” from genuine agency arrangements. In most cases, an owner may properly authorise an attorney to execute a legally valid conveyance on the owner’s behalf, subject to the necessary authority and formalities. The POA authorises action; the appropriate registered conveyance transfers title. Ask a lawyer to review the full chain of documents rather than treating any POA as proof of ownership.
Choosing the attorney: trust, scope of powers, and why narrow powers are safer
Choose someone reliable, reachable and able to follow written instructions. Trust is necessary, but the document should still define boundaries. Identify the property precisely and specify whether the attorney may negotiate, sign, present documents, receive money or appoint another person.
Narrow powers reduce the gap between your intended decision and what another person can legally do. Consider written approval for material terms, a defined payment route, reporting obligations and restrictions on delegation or self-dealing. Your lawyer should assess whether these controls are suitable and enforceable. Neither a POA nor an advisory mandate guarantees a transaction outcome.
Common mistakes
- Overly broad powers: routine management authority quietly includes sale, borrowing or unrestricted delegation.
- Missing stamping: the overseas authentication is complete, but Indian stamp requirements have not been addressed.
- Unclear authority for registration: the document does not clearly distinguish signing a conveyance from presenting it for registration.
- No expiry or review: powers remain wider or longer-lived than the task requires.
- An attorney who is hard to reach: decisions and document checks stall because there is no dependable communication process.
Review the draft against the intended transaction, not merely against a generic template. Confirm who will hold the original and how you will receive copies of documents signed under it.
When a POA ends: revocation, death or incapacity
An ordinary agency can typically end through revocation, completion of its purpose, expiry, or the death or unsoundness of mind of the principal or attorney. The legal effect of incapacity depends on its nature and the applicable law; an illness or physical disability should not automatically be treated as terminating every POA.
Revocation needs practical follow-through. Depending on your situation, notify the attorney, relevant counterparties and registration authorities, address the original document and seek advice on recording or communicating the revocation. Rights arising before effective notice may need separate examination.
There can be exceptions, including an agency coupled with an interest under section 202 of the Indian Contract Act. Calling a POA “irrevocable” does not, by itself, settle that question. Have a lawyer review the document and circumstances rather than assume it survives death or can always be cancelled immediately.
How this connects to FEMA and repatriation
A POA enables representation; it does not change the owner’s eligibility to acquire property, the permitted payment channels or the rules for sending proceeds abroad. A sale signed by an attorney still needs to satisfy the applicable FEMA, banking and tax requirements.
Read the NRI repatriation guide for the broader framework and confirm current applicability with your authorised dealer bank and chartered accountant. For an exit, also read the TDS and Form 13 guide; confirm the current deduction treatment and any certificate requirements for your own case. A power to sign a sale does not automatically include authority to operate a bank account or arrange a remittance.
Disclaimer: This guide is educational only and is not legal, tax or financial advice. Requirements vary by state, country of execution, document wording and individual circumstances. Consult a qualified lawyer and chartered accountant before signing or relying on a POA. Confirm current requirements with the relevant registration authority, Indian mission and authorised dealer bank as applicable.
Frequently Asked Questions
Can an NRI sign a property POA outside India?
Typically, yes. The notarisation, apostille or Indian mission authentication route depends on the country and the receiving authority. Indian stamping and any required registration or authentication must also be addressed before relying on it.
Is a Special POA preferable to a General POA for one sale?
In most cases, a narrowly drafted, property-specific POA makes the intended authority easier to review. The wording, not just the title, determines its scope. Ask a qualified lawyer to match the powers to your transaction.
Does an apostille remove the need for stamping or registration in India?
No. An apostille authenticates the origin of a public document. It does not replace applicable Indian stamp requirements or all registration and authentication formalities. Requirements and charges vary by state and should be confirmed.
Does a GPA transfer ownership of a Gurgaon property?
Not by itself. The Supreme Court’s 2011 Suraj Lamp ruling distinguishes purported GPA sales from genuine agency arrangements. An authorised attorney may execute a proper conveyance where permitted, but the POA itself is not a title-transfer document.
Can a POA continue after the owner dies or becomes incapable?
An ordinary agency typically ends on death or unsoundness of mind, but the effect of other incapacity and exceptions such as an agency coupled with an interest require legal review. Do not assume the word irrevocable makes a POA continue in every situation.
